These Terms of Use ("Terms") govern your access to and use of Corelio.AI, operated by Aeternus Wealth Inc LLC-FZ ("Corelio.AI," "Corelio," "we," "us," or "our"), including our websites, subdomains, client areas, dashboards, product pages, demos, AI tools, portals, content, downloadable resources, workflows, and related services (collectively, the "Services").
By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

2. Scope of These Terms
These Terms apply to your use of:
- the main Corelio.AI website;
- all public and gated pages, portals, and subdomains;
- product and service pages;
- AI demos, AI assistants, voice interfaces, document tools, and automation interfaces;
- client hubs, onboarding flows, account areas, and dashboards;
- blueprints, templates, calculators, resource libraries, and downloadable materials;
- consulting, implementation, managed-service, and support interactions delivered through Corelio.AI.
Additional terms may apply to specific services, pilots, paid subscriptions, enterprise engagements, statements of work, order forms, connector terms, privacy notices, cookie notices, or data processing agreements. If there is a conflict between these Terms and a signed commercial agreement, the signed commercial agreement will control to the extent of that conflict.
3. Eligibility
You may use the Services only if:
- you have the legal capacity to enter into a binding agreement;
- you are using the Services in compliance with applicable law;
- if acting for a company or organization, you are authorized to bind that entity.
The Services are intended primarily for business, professional, and organizational use.
4. Changes to the Services and Terms
We may update, change, suspend, limit, or discontinue any part of the Services at any time, with or without notice, including features, tools, interfaces, pricing, product structure, content, integrations, or availability.
We may also update these Terms from time to time. The updated version becomes effective when posted, unless a later effective date is stated. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
5. Accounts and Access
Some parts of the Services may require you to create an account or be invited into a client portal, dashboard, or workspace.
You are responsible for:
- providing accurate and complete registration information;
- maintaining the confidentiality of your credentials;
- restricting access to your account and devices;
- all activities that occur under your account, whether or not authorized by you.
You must notify us promptly at support@corelio.ai if you suspect unauthorized access, credential compromise, or account misuse.
We reserve the right to suspend, restrict, or terminate access to any account if we reasonably believe there is a breach of these Terms, a security issue, unlawful conduct, abusive behavior, or other material risk to us, our customers, or third parties.
6. Nature of the Services
Corelio.AI provides technology, infrastructure, AI-enabled tools, automations, digital systems, and related services. Depending on the context, the Services may include:
- AI call center and voice automation functionality;
- AI assistants, chat interfaces, and conversational tools;
- document intelligence and document-processing workflows;
- dashboards, analytics, automation layers, and business process tooling;
- digital infrastructure, websites, web architecture, and implementation services;
- strategy, consulting, setup, onboarding, support, and managed-service work;
- blueprints, templates, and educational or informational materials.
Not all Services are available to all users, and availability may vary by product, geography, configuration, commercial plan, or technical environment.
7. No Professional Advice
Unless explicitly stated otherwise in a signed engagement, the Services, including AI outputs, templates, calculators, demos, summaries, recommendations, automations, and any content on the site, are provided for general informational and operational purposes only.
The Services do not constitute legal advice, medical advice, financial advice, tax advice, regulatory advice, or any other licensed professional advice.
You are responsible for obtaining qualified professional advice where needed and for independently reviewing any output before relying on it in a high-impact or regulated context.
8. AI Systems and Output Limitations
Some parts of the Services use artificial intelligence, automation, and machine-learning systems. These systems may generate summaries, recommendations, classifications, extracted variables, draft content, voice interactions, structured outputs, workflow actions, or other outputs.
You acknowledge and agree that:
- AI outputs may be probabilistic, incomplete, or inaccurate;
- outputs may reflect limitations in source data, prompts, configuration, or model behavior;
- human review is required before relying on outputs in legal, medical, employment, compliance-sensitive, financial, or other high-stakes situations;
- you remain responsible for how you use, act on, approve, or communicate outputs generated through the Services.
We do not guarantee that AI outputs will be error-free, complete, compliant, or fit for any particular purpose.
9. Customer Data, Uploads, and Inputs
You may submit, upload, connect, or otherwise make available content, documents, prompts, instructions, records, files, contact data, communications data, knowledge base materials, call data, transcripts, and other materials ("Customer Data") in connection with the Services.
You retain your rights in Customer Data, but you grant us a non-exclusive, worldwide, limited right to host, store, process, transmit, transform, analyze, reproduce, and use Customer Data as necessary to:
- provide and operate the Services;
- fulfill your requests and instructions;
- support product functionality and integrations;
- maintain security, troubleshooting, auditing, and support;
- comply with applicable law and enforce our rights.
You represent and warrant that:
- you have all rights, permissions, notices, and consents necessary to provide Customer Data;
- your Customer Data and instructions do not violate any law, contract, confidentiality obligation, or third-party right;
- you will not provide unlawful, infringing, deceptive, malicious, or unauthorized data or content.
10. Acceptable Use
You must not use the Services in any way that:
- violates applicable law, regulation, or court order;
- infringes intellectual property, privacy, publicity, confidentiality, or other rights;
- is fraudulent, deceptive, defamatory, abusive, threatening, harassing, hateful, or discriminatory;
- transmits malware, ransomware, spyware, or other harmful code;
- attempts to gain unauthorized access to systems, networks, or accounts;
- probes, scans, reverse engineers, or tests vulnerabilities without authorization;
- interferes with or disrupts the Services or related infrastructure;
- scrapes, copies, or extracts data from the Services in an unauthorized manner;
- uploads unlawful, infringing, or malicious files or content;
- uses the Services to generate or distribute spam, unlawful robocalls, unlawful marketing, deceptive outreach, or prohibited messaging;
- uses AI or automation features in a way that is unlawful, unsafe, or materially misleading;
- bypasses usage limits, billing logic, access controls, or security protections.
We may investigate, suspend, restrict, or terminate access for suspected misuse.
11. Calls, Messaging, Outreach, and Compliance Responsibility
If you use the Services for calls, AI voice interactions, outbound campaigns, messaging, scheduling, customer communications, or related automations, you are solely responsible for ensuring compliance with all applicable laws, regulations, and industry rules, including those relating to:
- telecommunications;
- recording and consent;
- consumer protection;
- anti-spam and marketing rules;
- privacy and data protection;
- appointment scheduling and customer communications;
- sector-specific requirements in healthcare, finance, legal, or other regulated industries.
You are responsible for the lawfulness of your scripts, workflows, contact lists, customer instructions, call-routing logic, messaging content, and operational use of the Services.
12. Third-Party Services and Integrations
The Services may include or rely on third-party providers, platforms, APIs, connectors, embedded tools, hosting providers, analytics tools, AI model providers, scheduling tools, communications providers, payment processors, or other external services.
We are not responsible for:
- third-party products or services;
- third-party outages, failures, delays, or changes;
- third-party pricing, terms, or policies;
- third-party security incidents;
- your use of any third-party service outside our direct control.
Your use of third-party services remains subject to their own terms and policies.
13. Fees, Billing, and Commercial Terms
Some Services are free to access, while others require payment under a subscription, proposal, order form, statement of work, implementation agreement, or other commercial arrangement.
Unless otherwise agreed in writing:
- fees are due as stated at the time of purchase or in the applicable commercial agreement;
- all fees are non-refundable except where required by law or expressly agreed otherwise;
- you are responsible for applicable taxes, duties, levies, and charges;
- we may suspend or restrict access for non-payment.
If a specific product or service has separate billing, plan, or subscription terms, those additional terms will apply alongside these Terms.
14. Intellectual Property
All rights, title, and interest in and to the Services, including the website, design, UI, code, software, workflows, prompts, templates, branding, graphics, text, documentation, and related materials, are owned by Corelio.AI or its licensors unless otherwise stated.
Except for the limited right to access and use the Services in accordance with these Terms, no license or right is granted to you by implication, waiver, estoppel, or otherwise.
You must not:
- reproduce, republish, distribute, or commercially exploit our materials without authorization;
- copy or adapt major parts of the Services or website;
- remove proprietary notices;
- use our trademarks, branding, trade dress, or domain names without prior written permission.
15. Feedback
If you provide suggestions, ideas, comments, product feedback, or improvement proposals, you grant us the right to use them without restriction, compensation, or attribution, unless otherwise agreed in writing.
16. Confidentiality
If you receive non-public information from us relating to the Services, business operations, pricing, product plans, technical systems, or commercial materials, you must keep it confidential and use it only for the purpose for which it was disclosed, unless:
- the information is already public through no breach by you;
- disclosure is required by law or valid legal process; or
- we expressly authorize disclosure in writing.
This section does not replace any more specific NDA or confidentiality agreement that may apply between the parties.
17. Availability and Service Levels
Unless expressly set out in a signed service-level agreement, we do not guarantee uninterrupted availability, uptime, response times, error-free operation, or continuous access to any part of the Services.
Maintenance, updates, outages, vendor issues, internet failures, or other technical factors may affect service availability.
18. Disclaimers
To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis.
We disclaim all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, accuracy, and error-free operation.
We do not warrant that:
- the Services will meet all of your requirements;
- outputs will be accurate, lawful, complete, or fit for your intended use;
- the Services will always be available, secure, or free of defects;
- defects will be corrected on any specific timeline;
- third-party services or integrations will remain available or compatible.
19. Limitation of Liability
To the fullest extent permitted by law, Corelio.AI and its affiliates, officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of revenue, profit, goodwill, data, business opportunity, customers, contracts, or anticipated savings, arising out of or related to the Services or these Terms.
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:
- the total amount paid by you to Corelio.AI for the relevant Services during the three (3) months preceding the event giving rise to the claim; or
- one hundred U.S. dollars (US $100),
unless a different liability cap is expressly stated in a signed commercial agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
20. Indemnity
You agree to defend, indemnify, and hold harmless Corelio.AI, its affiliates, officers, directors, employees, contractors, and agents from and against any third-party claim, demand, action, proceeding, liability, loss, damage, judgment, fine, penalty, cost, or expense (including reasonable legal fees) arising out of or related to:
- your use of the Services;
- your Customer Data;
- your breach of these Terms;
- your violation of applicable law or third-party rights;
- your negligent, unlawful, or unauthorized use of AI, calls, messaging, automations, or uploaded data;
- disputes between you and your users, clients, customers, leads, or counterparties.
21. Suspension and Termination
We may suspend, limit, or terminate your access to the Services at any time, with or without notice, if we reasonably believe:
- you breached these Terms;
- you created legal, compliance, security, or reputational risk;
- your use is fraudulent, abusive, or unlawful;
- suspension is necessary to protect us, our users, customers, vendors, or infrastructure;
- continued provision is commercially or technically impractical.
You may stop using the Services at any time.
Sections that by their nature should survive termination will survive termination, including sections relating to intellectual property, disclaimers, liability, indemnity, confidentiality, governing law, and dispute resolution.
22. Privacy and Cookies
Your use of the Services is also subject to our Privacy Policy and Cookie Policy, which describe how we process personal data and use cookies and similar technologies.
23. Governing Law and Jurisdiction
These Terms are governed by the laws applicable in the Emirate of Dubai and the United Arab Emirates, unless a different governing law is expressly stated in a signed commercial agreement.
To the fullest extent permitted by law, the courts with competent jurisdiction in Dubai, United Arab Emirates, shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless otherwise agreed in writing.
24. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a reorganization, restructuring, sale, transfer, or merger.
These Terms constitute the entire agreement between you and Corelio.AI regarding the use of the Services, except where supplemented or replaced by a signed commercial agreement or service-specific terms.
